General terms and conditions of sale

1. Scope
These general terms govern the purchase of OBELIS-branded products via www.obelis.it by both business customers (B2B) and end consumers (B2C). By placing an order, the customer fully accepts these terms and conditions. Unless otherwise agreed upon in writing, the following General Terms of Supply shall apply to all and any supply agreement negotiated, or concluded by Gressani.
2. Prices and Payments
As per Gressani price-list current at the issuing of the purchase order or the order confirmation. Buyer shall be not allowed to unilateral discount on price. All prices are in Euros. OBELIS reserves the right to modify prices at any time. Accepted payment methods are listed on the website. 50% deposit upon acceptance of the offer; balance before the date of delivery of the goods upon presentation of the invoice.
3. Delivery
Delivery times begin from the confirmation of the order and/or payment. Reference shall be made to ICC Incoterms. Default delivery term shall be FCA – Free Carrier. Unless qualified as essential, delivery dates are deemed to be flexible (+/- 10 working days).
4. Retention of Title
Goods remain the property of OBELIS until full payment has been received.
5. Warranty
Products are guaranteed to be in conformity with the contract and current regulations. Any lack of conformity must be communicated in writing, under forfeiture, within 5 days from discovery, in any case within 30 days from delivery.
Proper functioning of products is also guaranteed for 2 years from delivery provided that products are utilized in accordance to the relevant instructions for use and maintenance.
The guarantee for product lack of conformity and/or improper functioning shall be limited to replacement or repair of faulty products; with the exclusion of any further legal liability including direct and indirect damages).
6. Right of Withdrawal (B2C only)
According to Italian Legislative Decree 206/2005, consumers have the right to withdraw from the contract within 14 days of receiving the product. To exercise this right, the customer must send written notice to info@obelis.it and return the product at their own expense, undamaged and in its original packaging. The refund will be issued within 14 days of receiving the return.
7. Limitation of Liability and Disputes
OBELIS shall not be liable for any indirect or consequential damages arising from the use of purchased products. Any disputes arising out, or in connection with these General Terms of Supply, and any contracts governed by the same shall be finally settled in accordance with the ADR QUADRA Rules (www.adrquadra.com). Venue shall be Treviso, Italy.
Notwithstanding the above, Gressani shall be entitled to address either the Treviso, Italy court, or the competent court in the customer’s jurisdiction in order to obtain an ex parte payment order in respect of any unpaid supply.
8. Governing Law
The contract is governed by Italian law (1980 CISG included).
